Program Name: Get More Reviews SMS Program.

Program Description: When you opt in you will receive review requests, appointment reminders and other service-related messages from Get More Reviews.

Opt-Out: Reply 'STOP' to cancel at any time. A final text will confirm your opt-out and you will receive no further messages unless you opt in again.

Rejoin: To start receiving messages again, reply 'START' or sign up as you did originally.

Help: Reply 'HELP' for assistance or email help@getmorereviews.com.

Message & Data Rates: Message and data rates may apply. Message frequency varies.

Carrier Disclaimer: Carriers are not liable for delayed or undelivered messages.

No mobile information will be shared with third parties or affiliates for marketing/promotional purposes. Text messaging originator opt-in data and consent will not be shared with any third parties, except for aggregators and providers of the Text Message services.

a. "Authorized Users" means Customer employees, Customer's contractors, and any other individual, in each case, for whom Customer has paid all applicable fees to permit them to access the Get More Reviews Platform.

b. "Customer Personal Information" means Personal Information of Customer's clients that is provided by Customer to Get More Reviews, uploaded by Customer to the Get More Reviews Platform, or collected by or on behalf of Customer from Customer's clients using the Get More Reviews Platform under this Agreement.

c. "Documentation" means any online help files or instructions published by Get More Reviews that describe the installation, operation, use, or technical specifications of the Get More Reviews Platform.

d. "Get More Reviews Platform" means access to Get More Reviews' web-based software platform which enables businesses to get online customer reviews, including any updates or enhancements thereto that Get More Reviews may provide to Customer from time to time.

e. "Personal Information" means information that identifies, relates to, describes, is reasonably capable of being associated with, or could reasonably be linked, directly or indirectly, with a particular consumer, household, or device, or as otherwise defined under applicable law, whichever is more restrictive.

f. "Scope Limitations" means any limitations on Customer's use of the Get More Reviews Platform specified in the applicable Subscription Plan.

g. "Subscription Plan" means the recurring payment plan agreed to by Customer and set forth in Customer's Get More Reviews account specifying the details of access to the Get More Reviews Platform to be provided, pricing, and payment terms.

h. "Subscription Term" means the duration of time Customer's Subscription Plan is in effect.

a. Access to the Get More Reviews Platform

Subject to the terms and conditions of these Terms and Customer's payment of all fees, Get More Reviews grants to Customer a limited right during the applicable Subscription Term, to access and use the Get More Reviews Platform by and through its Authorized Users solely in connection with Customer's internal business operations in the manner described by any accompanying Documentation and Scope Limitations.

b. Documentation

Subject to and conditioned upon Customer's strict compliance with the Agreement and payment of all applicable fees, Get More Reviews grants to Customer a personal, non-transferable, non-sublicensable, non-exclusive, limited license during the applicable Subscription Term to, solely by and through its Authorized Users, make a reasonable number of copies of the Documentation and internally use that Documentation (including any copies), in each case, solely in support of its authorized use of the Get More Reviews Platform in accordance with the Agreement.

c. Technical Support

For so long as Customer is current with its payment of all fees, Get More Reviews will use commercially reasonable efforts to provide technical support services relating to use of the Get More Reviews Platform via the channels and during the hours specified by Get More Reviews.

d. Restrictions

Except and solely to the extent permitted by the Agreement or by applicable law, Customer will not (and will not permit or authorize any third party to):

• use the Get More Reviews Platform or Documentation except as expressly permitted under the Agreement;
• reverse engineer, decompile, disassemble, modify, merge, or translate the Get More Reviews Platform or Documentation;
• install or otherwise use the Get More Reviews Platform or Documentation in violation of Scope Limitations;
• transfer, assign, sublicense, sell, or otherwise convey any rights to the Get More Reviews Platform;
• remove, delete, alter, or obscure any intellectual property rights notices;
• transmit any software or materials that contain viruses or harmful components;
• use any automated devices to retrieve, index, or data mine the platform;
• probe, scan or test system vulnerabilities or breach security measures;
• harvest information about other users without consent;
• engage in activities that could damage or impair Get More Reviews' servers;
• use the platform for illegal, inappropriate, or unauthorized purposes;
• use the platform to compete with Get More Reviews' business.

e. Responsibility for Use

Customer is responsible and liable for all actions by its Authorized Users or any other person to whom Customer provides access to the Get More Reviews Platform, as if they were actions of Customer.

f. Reservation of Rights

Get More Reviews grants to Customer only those rights expressly described in this Agreement. Get More Reviews reserves all other rights in and to the platform and documentation.

g. Feedback

If Customer provides feedback concerning the functionality and performance of the Service, Customer assigns to Get More Reviews all rights in such feedback, and Get More Reviews is free to use the feedback without payment or restriction.

h. Customer Data

Get More Reviews is not responsible for backing up Customer Data. Customer grants Get More Reviews a non-exclusive, irrevocable, worldwide license to use Customer Data solely for providing the platform services. Customer represents that Customer Data does not infringe any rights, is not unlawful, and does not contain harmful code.

i. Compliance with Laws

Customer represents and warrants compliance with all applicable laws, including but not limited to TCPA, TSR, CAN-SPAM, GDPR, CASL, and CCPA.

j. License to Marks

If Customer applies its branding to the platform, Customer grants Get More Reviews a non-exclusive, royalty-free license to use Customer's trademarks and logos during the Subscription Term to provide the services.

a. Fees

Customer will pay Get More Reviews the fees and any other amounts owing under this Agreement, as specified in the applicable Subscription Plan.

b. Payment Terms

Unless otherwise specified, all charges are monthly recurring payments due monthly in advance. All fees are in U.S. dollars and are non-refundable. Customer authorizes automatic charging until cancellation. If payment information is updated, it may take up to 5 business days to take effect.

c. Taxes

Other than federal and state net income taxes imposed on Get More Reviews, Customer will bear all taxes, duties, and other governmental charges resulting from the Agreement.

a. Term of the Agreement

The Agreement commences on the date Customer first agrees to these Terms and continues until terminated. Subscription Plans are month-to-month unless otherwise agreed, and either party may terminate with written notice effective at the end of the current month.

b. Notice of Material Breach

Get More Reviews may terminate immediately upon notice if Customer materially breaches the Agreement, including failure to timely pay amounts owing.

c. Termination for Insolvency

Get More Reviews may terminate immediately if Customer files for bankruptcy or makes an assignment for the benefit of creditors.

d. Effect of Termination

Upon termination: (i) all rights and licenses terminate; (ii) Customer pays accrued amounts; (iii) Get More Reviews has no further obligations; and (iv) certain sections survive.

a. Mutual Warranties

Each party warrants that the Agreement has been duly executed, no third-party authorization is required, and execution does not violate any laws or agreements.

b. Disclaimer

Except for limited warranties in section 5(a), the Get More Reviews Platform is provided "AS IS". Get More Reviews disclaims all other warranties, including implied warranties of merchantability and fitness for a particular purpose.

a. Disclaimer of Indirect Damages

Get More Reviews will not be liable for consequential, incidental, special, or exemplary damages, including lost profits or loss of business.

b. Cap on Liability

Get More Reviews' total liability will not exceed the total amount paid by Customer during the 3 months immediately preceding the claim.

c. Independent Allocations of Risk

Each limitation provision allocates risks between the parties, is reflected in pricing, and is essential to the bargain.

a. Export

Customer will comply with all export and import laws. The platform is subject to U.S. export control laws.

b. Governing Law

The Agreement is governed by the laws of the United States and Texas. Litigation will be brought exclusively in Austin, Texas courts.

c. Assignment

Customer may not assign the Agreement without Get More Reviews' consent. Get More Reviews may freely assign its rights and obligations.

d. Severability

If any provision is unenforceable, it will be modified to allow enforceability, and remaining provisions remain valid.

e. Waiver

Failure to require performance does not waive the right to require performance later.

f. Entire Agreement

The Agreement is the complete expression of the agreement between parties and supersedes all previous communications except prior nondisclosure agreements.

g. Relationship

Get More Reviews is an independent contractor and not an agent or representative of Customer.

h. Subcontractors

Get More Reviews may use subcontractors while remaining responsible for all obligations.

i. Notices

Notices must be in writing and sent by certified mail or insured courier to addresses in the Subscription Plan.

j. Force Majeure

Get More Reviews will not be liable for delays due to causes beyond its reasonable control.

k. Interpretation

Section headings are for convenience only. Terms like "include" mean "without limitation" and "or" is inclusive.
